Rosenfeld Marketing ("we," "us") provides a managed "Chief of Staff" service: we deploy, configure, and operate an AI operations agent inside the client's ("you," "your") own business tools, and provide a command-center web application to manage and monitor that work. By purchasing or using the service you agree to these Terms.
Your Chief of Staff runs inside your own accounts and tools (for example your email, calendar, and workspace). We install it, tune it, and manage it on your behalf, and we provide the command-center application where the work is coordinated and shown. The service is forward-deployed and managed; it is not standalone software you self-host.
You provide and maintain your own third-party subscriptions and accounts required to run the service, including your own Anthropic/Claude subscription and your own workspace (such as Google Workspace or Microsoft 365). Those subscriptions are billed to you by those providers directly; we do not resell them and make no margin on them. You are responsible for the security of your own accounts, credentials, and devices.
We do not ask for, store, or need your passwords. Access is granted by you through the providers' own authorization mechanisms and remains under your control; you may revoke access at any time. You are responsible for reviewing and approving any action that sends messages, publishes content, moves money, or is otherwise irreversible — the agent surfaces and prepares work, and a human remains in the loop for consequential actions.
Fees, including any one-time setup fee and recurring monthly management fee, are as stated in your order or proposal. Recurring fees are subject to a minimum term as stated in your order (for example a 90-day minimum) and continue until cancelled per Section 6. Any advertising spend or third-party costs are paid by you directly to those platforms and are not marked up by us. Fees are non-refundable for work already performed. Late or failed payment may result in suspension of the service.
The engagement begins on the start date and continues month-to-month after any minimum term. Either party may cancel with written notice as stated in your order (or, if unstated, 30 days). On cancellation you retain your data, your accounts, and your agent's configuration; we retain our own reusable tools, templates, and the command-center platform.
You agree to provide accurate information, to use the service lawfully, and to remain responsible for your own business decisions. The agent assists and prepares work; final decisions and any regulated, legal, financial, or medical determinations are yours.
You own your business data, content, brand, and customer information. We retain ownership of our methods, tools, templates, prompt systems, and the command-center platform, and grant you a non-exclusive license to use them for the duration of the engagement. Deliverables built specifically for you are licensed or assigned to you as stated in your order upon full payment.
The service uses artificial intelligence, which can produce errors, omissions, or unexpected output. Output is provided to assist you and is not professional, legal, financial, or medical advice. We do not guarantee specific outcomes such as revenue, enrollments, leads, growth, or uptime. You are responsible for reviewing output before relying on or acting on it.
We aim to provide continuous, ongoing service, including your agent's working memory and its synchronization with the command center. "Continuous" and "ongoing" mean for as long as the engagement is active and the underlying platforms remain available; nothing here is a promise of permanent or uninterrupted service.
The service depends on third parties including Anthropic (Claude), our application platform and its cloud database provider, and any integrations you connect. Your use of those services is subject to their terms. We are not responsible for third-party outages, changes, deprecations, or pricing.
Each party will protect the other's non-public information and use it only to perform or receive the service.
The service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
To the fullest extent permitted by law, we will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability arising out of or relating to the service will not exceed the fees you paid to us in the three (3) months preceding the claim.
You agree to indemnify and hold us harmless from claims arising out of your use of the service, your content and data, your accounts, or your violation of these Terms or applicable law.
We may suspend or terminate the service for non-payment, unlawful use, or material breach. Sections that by their nature should survive termination will survive.
These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-laws rules. [CLIENT/COUNSEL TO CONFIRM ENTITY, STATE, AND DISPUTE-RESOLUTION VENUE.]
We may update these Terms; material changes will be posted here with a new "Last updated" date and, where appropriate, communicated to active clients.
